Please read these Terms of Service (“Terms”) carefully before using the products and services offered by Nitrogen (N2) Technologies, LLC (“N₂”, “we”, “us”, or “our”).

1. Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

N₂ provides AI-powered software products and services, including Telly and related tools, APIs, and websites (collectively, the “Services”). We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

3. Accounts and Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information;
• Maintain the security of your account credentials and not share them with third parties;
• Notify us immediately at [email protected] of any unauthorized access;
• Be responsible for all activity that occurs under your account.

You must be at least 13 years old (or the minimum age required in your jurisdiction) to create an account.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights;
• Generate, distribute, or facilitate illegal, harmful, defamatory, obscene, or fraudulent content;
• Attempt to reverse engineer, decompile, or extract source code from the Services;
• Scrape, crawl, or harvest data from the Services without written permission;
• Interfere with or disrupt the integrity or performance of the Services or servers;
• Use the Services to train competing AI models without express written consent;
• Impersonate any person or entity, or misrepresent your affiliation.

We reserve the right to investigate violations and to take appropriate action, including suspension or termination of your account.

5. Intellectual Property

The Services and all content, technology, and software therein are owned by N₂ or its licensors and protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or internal business purposes.

“Nitrogen Technologies,” “N₂,” and “Telly” are trademarks or service marks of Nitrogen (N2) Technologies, LLC, whether or not registered. You may not use our marks without prior written permission.

6. User Content

You retain ownership of content you submit to the Services (“User Content”). By submitting User Content, you grant N₂ a worldwide, royalty-free, sublicensable license to use, reproduce, modify, and process that content solely for the purpose of providing and improving the Services.

You represent that you have all rights necessary to grant this license and that your User Content does not violate any third-party rights.

7. Payments and Subscriptions

Certain Services are offered on a subscription basis. By subscribing, you authorize us to charge your payment method on a recurring basis. All fees are non-refundable except as required by law or as expressly stated in a separate agreement. Prices may change with 30 days' notice. Failure to pay may result in suspension of your access.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. N₂ DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. AI-GENERATED OUTPUTS MAY BE INACCURATE; YOU ARE RESPONSIBLE FOR VERIFYING ANY OUTPUT BEFORE RELYING ON IT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, N₂ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

10. Indemnification

You agree to indemnify, defend, and hold harmless N₂ and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your User Content, or your violation of these Terms.

11. Termination

Either party may terminate your account at any time. We may suspend or terminate your access immediately if you violate these Terms or if we are required to do so by law. Upon termination, your right to use the Services ceases. Sections 5, 8, 9, 10, and 12 survive termination.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute shall be resolved by binding arbitration administered by JAMS under its Commercial Arbitration Rules, with the seat in Wilmington, Delaware, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive the right to participate in a class action.

13. Changes to Terms

We may modify these Terms at any time. We will provide at least 30 days' notice for material changes by email or via the Services. Your continued use after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Services and close your account.
